Draft terms governing use of covabl.com and COVABL online services

Version September 24, 2026

These Website Terms of Use (“Terms”) govern your access to and use of covabl.com and any COVABL webpages, account features, content, and online services that link to these Terms (collectively, the “Site”). The Site is operated by COVABL (“COVABL,” “we,” “us,” or “our”).

By accessing or using the Site, creating an account, or affirmatively accepting these Terms where presented, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility

The Site and COVABL’s transactional services are intended for individuals who are at least 18 years old and legally able to enter into a binding contract. You may browse portions of the Site without creating an account, but certain features and transactions require an account and additional eligibility requirements.

2. About COVABL

COVABL is a luxury fashion rental service offering access to curated designer clothing and accessories. COVABL may also offer pre-launch or promotional programs, including the COVABL Keyholder Program. Availability, service areas, inventory, features, and programs may change over time.

3. Additional Terms for Transactions

These Terms govern general use of the Site. Additional terms apply to particular transactions and programs:

  • COVABL Keyholder purchases are governed by the COVABL Keyholder Program Terms presented at Keyholder checkout.
  • Individual rentals are governed by the COVABL Customer Rental Agreement and transaction-specific terms presented at rental checkout.
  • The COVABL Privacy Policy explains how COVABL collects, uses, discloses, and protects personal information.
  • Additional promotions or programs may be governed by separate terms presented with the applicable offer.

If these Terms conflict with transaction-specific terms regarding that transaction, the transaction-specific terms control to the extent of the conflict.

4. Accounts

You may be required to create an account to use certain COVABL services. You agree to provide accurate, current information and to keep it updated. You are responsible for protecting your login credentials and for activity conducted through your account.

You may not impersonate another person, create an account using false information, transfer your account without permission, or create multiple accounts to improperly obtain promotional benefits.

5. Service Area and Availability

COVABL initially expects to provide rental services in Orange County and select Los Angeles areas. Exact availability may depend on your delivery address, courier coverage, inventory, and COVABL’s then-current operations. COVABL may expand, reduce, or otherwise modify its service area prospectively.

6. Product Information and Availability

COVABL attempts to present product descriptions, sizes, condition information, prices, and availability accurately. However, inventory may be limited, pre-owned, vintage, or one-of-one, and availability may change.

A product appearing on the Site is not guaranteed to be available for a particular date, size, or customer. Preview-only products may be displayed before they are available for rental, and some previewed products may never become available.

7. Images, Styling, Color, and Fit

Product and editorial imagery may show styling elements, accessories, shoes, bags, jewelry, props, or other items that are not included in a rental. Only the item and components expressly identified in the product listing or order confirmation are included.

We attempt to depict merchandise accurately, but actual color may vary based on lighting, photography, image processing, and your device display. Designer sizing varies. Measurements, fit notes, stylist notes, and recommendations are informational and do not guarantee fit.

8. Prices and Errors

Prices, promotions, rental rates, and other information may change prospectively. COVABL may correct genuine typographical, technical, pricing, or availability errors. If a material error affects a transaction after you submit it, COVABL will provide an appropriate correction, cancellation, refund, or other remedy consistent with applicable law and the applicable transaction terms.

9. Keyholder and Promotional Programs

COVABL may offer promotional programs from time to time. The COVABL Keyholder Program is governed by separate Keyholder Program Terms. Participation in a promotional program does not create ownership, equity, investment, or governance rights in COVABL unless COVABL expressly states otherwise in legally compliant written terms.

10. Intellectual Property

The Site and its COVABL-owned content, including the COVABL name and branding, site design, original text, graphics, photographs, videos, layouts, and other materials, are owned by or licensed to COVABL and are protected by intellectual-property laws.

Subject to these Terms, COVABL grants you a limited, personal, nonexclusive, nontransferable, revocable right to access and use the Site for lawful personal use. No ownership rights are transferred to you.

Designer names, logos, and trademarks appearing in connection with rental merchandise belong to their respective owners. Their appearance on the Site does not imply sponsorship or endorsement unless expressly stated.

11. Prohibited Uses

You may not use the Site to:

  • Violate any applicable law or the rights of another person;
  • Engage in fraud, identity misrepresentation, payment fraud, or promotional abuse;
  • Create duplicate accounts to obtain benefits not intended for multiple use;
  • Scrape, crawl, harvest, copy, or extract Site content or data through automated means except as expressly permitted by COVABL or applicable law;
  • Reverse engineer, probe, interfere with, bypass, disable, or compromise security or technical measures;
  • Introduce malware, harmful code, or excessive automated traffic;
  • Use COVABL content, product images, or data to train, build, or commercialize a competing service without permission;
  • Impersonate COVABL or falsely suggest affiliation with COVABL;
  • Use the Site or COVABL services for commercial resale, solicitation, or unauthorized rental/sub-rental activity; or
  • Otherwise misuse the Site in a manner that materially interferes with COVABL, its customers, or its service providers.

12. Feedback and Submissions

If you voluntarily submit feedback, ideas, suggestions, or other non-confidential input about COVABL, you grant COVABL permission to use that feedback without restriction or compensation to improve or develop the business, subject to applicable law. This does not transfer ownership of your personal information or private account content.

13. User Content and Reviews

COVABL does not currently plan to operate public message boards, public customer profiles, or customer-to-customer communication features at launch. If COVABL later enables reviews, photos, comments, or other public user content, additional terms may apply.

14. Third-Party Services and Links

The Site may integrate with or link to third-party services, including payment processors, email providers, courier services, social platforms, or other websites. Third-party services are governed by their own terms and privacy practices. COVABL is not responsible for third-party websites or services except to the extent required by law or expressly stated in COVABL’s applicable terms.

15. Communications

COVABL may send transactional and service-related communications by email, phone, or text message where you provide the relevant contact information and as permitted by applicable law. These communications may be necessary to administer your account, Keyholder participation, rental transactions, deliveries, pickups, verification, security, payments, refunds, return reminders, or customer support. Message and data rates may apply to text messages.

Optional marketing communications are handled separately; consent to marketing text messages is not a condition of purchase or rental and may be withdrawn as described in the applicable message or Privacy Policy.

16. Privacy

COVABL’s Privacy Policy describes the collection, use, disclosure, retention, and protection of personal information and is incorporated by reference for purposes of describing COVABL’s privacy practices.

17. Site Changes and Availability

COVABL may update, modify, suspend, or discontinue Site features prospectively. We do not guarantee that the Site will always be available or error-free. COVABL may conduct maintenance, implement security controls, or restrict access where reasonably necessary.

18. Account Suspension or Termination

COVABL may suspend or terminate access to the Site or certain services if you materially violate these Terms or other applicable COVABL terms, engage in fraud or abuse, create security risk, or fail to pay amounts lawfully due, including amounts that remain lawfully due after a payment reversal or chargeback under applicable transaction-specific terms. Termination does not eliminate obligations or rights that arose before termination, and customer-paid value will be handled in accordance with applicable law and the applicable program terms.

19. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. COVABL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ALL INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT.

Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot lawfully be excluded.

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COVABL AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, INCLUDING LOSS OF DATA, LOSS OF USE, LOSS OF PROFITS, OR OTHER INTANGIBLE LOSSES, EVEN IF COVABL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, COVABL’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO COVABL IN CONNECTION WITH THE TRANSACTION GIVING RISE TO THE CLAIM OR (B) $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Claims arising specifically from a rental transaction, COVABL Keyholder purchase or credit, damage to or loss of rented merchandise, delivery or pickup, or other transaction-specific matters may also be governed by the applicable Rental Agreement, Keyholder Terms, or other agreement presented to you at the time of the applicable transaction. If there is a conflict between this Section and a transaction-specific agreement, the transaction-specific agreement will control with respect to that transaction.

21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless COVABL and its owners, officers, employees, contractors, agents, and affiliates from and against third-party claims, liabilities, damages, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your fraudulent, unlawful, or unauthorized use of the Site;
  • Your material breach of these Terms;
  • Your violation of the rights of another person or entity, including intellectual property, privacy, or other legal rights;
  • Information or content you submit through the Site that violates applicable law or the rights of another person; or
  • Intentional misconduct or misuse of the Site.

This indemnification obligation does not apply to the extent a claim results from COVABL’s own negligence, willful misconduct, or violation of applicable law.

Separate indemnification, reimbursement, loss, damage, or responsibility provisions may apply to rental transactions and other COVABL services under the applicable Rental Agreement or other transaction-specific terms.

22. Dispute Resolution

Except where another agreement between you and COVABL provides a different dispute-resolution procedure for a particular transaction, you and COVABL agree to first attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to the Site or these Terms informally.

Before filing a lawsuit, either party may provide written notice describing the dispute and the relief requested. Notices to COVABL may be sent to hello@covabl.com. The parties will have a reasonable opportunity to attempt to resolve the matter before formal proceedings are initiated, except where immediate injunctive or other emergency relief is reasonably necessary.

Unless the parties agree otherwise or an applicable transaction-specific agreement provides for arbitration or another dispute-resolution process, disputes arising from these Terms may be brought in a court of competent jurisdiction as provided in the Governing Law section below.

Nothing in this Section prevents either party from pursuing claims in small claims court when eligible or from seeking temporary, preliminary, or injunctive relief where permitted by law.

23. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Site will be governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

To the extent a dispute is permitted to proceed in court and applicable law permits the parties to agree to venue, you and COVABL agree that the state and federal courts located in or serving Orange County, California will have exclusive jurisdiction over such dispute.

Nothing in this Section limits any rights a consumer may have under the mandatory laws of the state or jurisdiction in which the consumer resides where those rights cannot lawfully be waived.

If a separate COVABL agreement applicable to a particular transaction contains different governing-law, arbitration, or venue provisions, that agreement will govern the applicable transaction to the extent of any conflict.

24. Changes to These Terms

COVABL may update these Terms from time to time to reflect changes to our services, business practices, technology, legal requirements, or other operational needs.

When we update these Terms, we will revise the “Last Updated” date at the top of the Terms. If a change is material, COVABL will provide additional notice where required by applicable law, which may include notice through the Site, your account, or email.

Changes will apply prospectively from the effective date identified in the updated Terms unless otherwise permitted by law.

Your continued use of the Site after updated Terms become effective may constitute acceptance of those updated Terms to the extent permitted by applicable law. Where applicable law or the nature of a change requires additional affirmative consent, COVABL will request that consent before the applicable change becomes binding.

Changes to transaction-specific terms, including the Rental Agreement or Keyholder Terms, will be governed by the amendment and acceptance provisions applicable to those agreements.

25. Severability; No Waiver; Assignment

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, where necessary, severed from these Terms. The remaining provisions will remain in full force and effect.

COVABL’s failure or delay in exercising or enforcing any right or provision of these Terms will not constitute a waiver of that right or provision, and a waiver on one occasion will not constitute a waiver on any other occasion.

You may not assign or transfer these Terms or your rights or obligations under them without COVABL’s prior written consent, except where applicable law provides otherwise.

COVABL may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, corporate reorganization, change of control, sale of all or substantially all of its business or assets, or transfer of the portion of its business to which these Terms relate, subject to applicable law.
